Business & Transactional Law

When handling transactional and other business law related matters we often find ourselves in the role of general counsel managing incorporation, organization, contract, governance and compliance concerns, while focusing on mitigating risk factors in relation to the daily operations and negotiations that you are encountering. While identifying legal issues, we exploit both internal and external resources as needed to reach the goal in mind.

Estate Planning

To begin, a typical plan will often include Powers of Attorney for Healthcare and Property, Living Wills, HIPAA releases, and also either Wills or a Wills and a Trust (depending on your family dynamic, financial portfolio, concerns, goals, etc.).

A plan like this will cost between $950 - $1,550 (about $600 additional if we decide a trust is the better option) to draft, review, and then execute with witnesses and a notary.

Below are some of the things to consider in creating your plan:

  • Existing Estate Plan Documents: review of any existing estate planning documents (wills, trusts, powers of attorney, etc.);
  • “Three-Column Balance Sheet:” summary of assets debts.  It is important to indicate how the assets and debts are titled and their approximate fair market values;
  • Personal and Family Information: children, dates of birth, non-U.S. Citizenship, prior marriages, adoptions, etc.; and
  • Personal Objectives: unique aspects you would like to accomplish with your plan, if any.

Below is additional guidance on the various appointments. You do not need to have every detail nailed down before we begin.

  • Guardians for your Minor Children, if any: you should select two or more people to act in succession;
  • Executors/Trustees of your Estate: you should select two or more people and your selections should be individuals who are capable of asking the right questions when it comes time to handle your estate;
  • Powers of Attorney for Property and Healthcare: you should select two or more people to act on your behalf should you become incapacitated or unable to make your own financial or healthcare decisions.

All of these people can always be changed, and most likely will as you grow older and situations change. We say this because although the people you select should be done so carefully, you do not need to be stuck with these choices for life.

If you are interested, please email us and we will send you a summary email and a couple simple forms to get you started. From there, we will set up a time to discuss options and then design a plan that works best for you. We will then draft the plan for your review. Once you are satisfied, we will set up a time for you to execute your plan.

"Lou was very accommodating and helpful with our estate and living will preparation" - Teresa

"After spending a career in the corporate world I decided to take up the initiative to establish my own business. The thought of building your own company to many is daunting enough but to do it correct you spend time to bring together talent that has similar values (trust, honesty, hard work, attention to details, knowledge, and integrity to name of few) to assist you in the building process.

In working with Lou I found an attorney that assisted us very well and was able to present me with various business scenarios that would work with our company. Everything Lou did was precise as he would complete his research and due diligence on each topic and offer me different options available to the company. In areas that he was not completely familiar with, through our brief discussions and conversation he would gather a good understanding of the business models we were seeking and move the process forward.

His ability to maintain confidential client information, honesty and integrity in large and small situations and his abilities as a team player are all qualities that may make him stand out." Ray - Director, Financial Services Company
